Terms of Service

Effective: 1 June 2026 · Indiasay Global Distribution Pvt. Ltd.

Short version: We verify every order line in your settlement file against your contracted terms and surface recoverable amounts. The free audit costs nothing. Continuous monitoring is ₹10,000/month. We charge 20% of what's actually recovered (10% under Continuous). We do not guarantee recovery — we identify and build the case; you file the dispute. Files you share remain yours.

1. Parties and agreement

These Terms of Service ("Terms") govern the relationship between Indiasay Global Distribution Pvt. Ltd. ("MustLayer", "we", "us") and the individual or entity ("Client", "you") using the settlement reconciliation services available at mustlayer.com and app.mustlayer.com.

By requesting an audit, signing the mutual NDA, sharing files, or creating an account, you agree to these Terms. If you do not agree, do not use the service.

2. Services

MustLayer provides order-level settlement verification for D2C brands selling on Indian quick commerce platforms (currently Blinkit, Zepto, and Swiggy Instamart). Specifically, we:

We do not provide: tax advice, GST filing, demand forecasting, inventory management, Amazon/Flipkart reconciliation, autonomous ordering, or any service not described above.

3. Service tiers and pricing

Recovery Audit (free):

Continuous Monitoring (₹10,000/month):

All prices are exclusive of applicable taxes (GST). A GSTIN-compliant invoice is issued for every payment.

4. What "recovery" means

We identify; you file. Our deliverable is an order-level findings report and dispute package. Recovery means the platform credits or pays the disputed amount back into your account. Factors outside our control — platform dispute decisions, negotiation outcomes, timing — determine whether and how much is actually recovered.

Our recovery fee is calculated on the net amount credited to your account from disputes filed using our findings, within 12 months of the findings report.

We will assist with dispute drafting and follow-up communications. We do not act as your legal representative and our assistance does not constitute legal advice.

Both parties will sign a mutual NDA before any files are shared. The terms of that NDA govern the specific confidentiality obligations in each engagement. In all cases:

7. Intellectual property

Your settlement files, contracted rate-card data, and any information you provide remain your property. You grant us a limited, non-exclusive licence to use this information solely to perform the services described in these Terms.

The reconciliation methodology, software systems, and findings format are our intellectual property. Findings reports are licensed to you for your internal use — specifically for filing disputes with the platform and for your internal financial records.

8. Limitation of liability

MustLayer is not liable for:

Our total liability in any circumstance is limited to the fees you paid us in the 3 months preceding the claim.

9. Warranties

We warrant that we will perform the audit with reasonable care and skill, using the contracted terms you provide and the platform charge records in your settlement files.

We do not warrant that every recoverable amount will be recovered. Platform dispute outcomes are not in our control. The findings report is an accurate statement of discrepancies detected — it is not a guarantee of recovery.

10. Termination

Either party may terminate a Continuous Monitoring engagement with 30 days written notice. The Recovery Audit engagement concludes when the findings report is delivered and any applicable recovery fees are settled.

We may terminate access immediately if you breach these Terms, use the service for unlawful purposes, or provide materially false information.

On termination, you may request deletion of your data per our Privacy Policy. Invoices outstanding at termination remain due and payable.

11. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising from or related to these Terms will first be addressed through good-faith negotiation. If not resolved within 30 days, disputes will be submitted to the jurisdiction of the courts of India.

12. Changes to these Terms

We may update these Terms with 30 days notice for active clients. Changes take effect on the date stated in the notice. Continued use after that date constitutes acceptance. For material changes, we will seek your explicit confirmation before they apply to your ongoing engagement.
